Position Summary


The Paralegal will assist the General Counsel in all facets of the company’s broad range of legal needs, including commercial contracts, corporate governance, transactional documents, commercial disputes, international compliance, data privacy, and intellectual property matters. Key requirements of the position include enthusiasm to learn new areas of the law, sound judgment, organizational skills, and an ability to adapt to a fast-paced, challenging work environment.  


Duties and Responsibilities


The Paralegal is responsible for the following duties:

  • Assists with all legal and contractual matters as well as department projects
  • Drafts and reviews organizational and governance documents, including formation documents, board minutes, and resolutions
  • Drafts and reviews transactional documents relating to mergers and acquisitions, debt or equity financing transactions, leases, joint ventures, and licensing arrangements
  • Assists in the drafting and review of commercial contracts, such as customer and vendor agreements, employment contracts, and non-disclosure agreements
  • Assists with filing, paperwork and requests for information from regulatory bodies, auditors, creditors, investors, and others
  • Researches regulatory framework and requirements for international compliance, as well as data privacy laws
  • Researches commercial litigation issues and prepares correspondence and filings
  • Assists with intellectual property filings
  • Follows the ethical requirements as set forth by the Rules of Professional Conduct of the State, and California Business & Professions Code §§ 6450, et. seq.
  • Proofreads, redlines, and compares briefs, reports, contracts, etc.
  • Performs administrative tasks such as photocopying, drafting correspondence, and filing
  • Assist with general Human Resources administrative duties
  • Performs other duties and projects as assigned


Minimum Qualifications


  • Bachelor's degree in a related field or equivalent experience
  • Paralegal certificate from an ABA approved program, or provide evidence of compliance with the requirements of California Business & Professions Code Section, 6450 et. seq. regarding paralegals
  • 2+ years of relevant legal experience in a law firm or a corporate legal department is required
  • Working knowledge of corporate and intellectual property law
  • Knowledge of Microsoft Office Suite and other software applications and websites commonly used in corporate legal practice
  • Ability to organize and prioritize numerous tasks and complete them under time constraints
  • Ability to concentrate and pay close attention to detail when performing duties
  • Ability to proofread typed material for contextual, grammatical, typographical or spelling errors


Working Conditions


  • Indoor, environmentally controlled conditions
  • In contact with others (face-to-face, by telephone, or otherwise) frequently, including working in teams
  • Perform job tasks in slightly close physical proximity to other people


Physical Requirements


  • Remain in the seated position, in front of a computer, for extensive periods of time
  • The ability to listen and to understand information and ideas presented through spoken words and sentences
  • Perform work using computers and electronic devices
  • Ability to read and understand information and ideas presented in writing
  • Lift an object between approximately 10 and 25 pounds
  • Clarity of vision at 20 inches or less
  • Expressing or exchanging ideas by means of the spoken word to impart oral information to clients or to the public and to convey detailed spoken instructions to other workers accurately, loudly, or quickly
